Introduction

www.spikitech.com ("Website" / "Platform") is an online educational platform owned and operated by Spikitech Private Limited, a private limited company incorporated under the Companies Act, 2013, India, with the objective of providing future-ready education to children through technology-driven learning including Artificial Intelligence, Robotics, Communication Skills, and related programs.

These Terms of Service ("Terms") govern your access to and use of the Platform, including all content, services, courses, mobile applications, tools, and features offered by Spikitech. By accessing, browsing, registering, or using the Platform in any manner, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. General

These Terms constitute a legally binding agreement between Spikitech Private Limited ("Company", "We", "Us", "Our") and the user ("You", "Your", "User"). These Terms shall be read together with the Privacy Policy, Refund & Cancellation Policy, and any other policies or agreements published on the Platform. The Company and the User shall collectively be referred to as the "Parties".

2. Definitions

• "Courses": Educational programs listed on the Platform including AI, Robotics, Public Speaking, and related skill-based learning.
• "Instructor": Any educator, trainer, mentor, or facilitator providing educational services through the Platform.
• "Learning Content": Text, graphics, videos, audio, software, projects, assessments, quizzes, or materials used for educational purposes.
• "Services": Access to the Platform, Courses, live classes, content, tools, and support services.

3. Scope of Services

The Company provides a technology-enabled Platform that allows Users to:

• Enroll in educational Courses;
• Attend live or recorded learning sessions;
• Access Learning Content, projects, and assessments;
• Interact with instructors and support teams.

The Company may, at its discretion, replace or reassign instructors where required. Any unused portion of paid services may be adjusted accordingly.

You acknowledge that the Company facilitates learning services and that actual instructional delivery may be performed by independent instructors or partners.

4. User Content

The Platform may allow Users to submit reviews, feedback, comments, assignments, or other content ("User Content"). You agree that:

• You will not submit false, misleading, offensive, or unlawful content;
• The Company may use User Content for quality control, platform improvement, marketing, or legal purposes;
• The Company reserves the right to remove any User Content that violates these Terms.

You grant the Company a non-exclusive, worldwide, perpetual, royalty-free license to use such User Content.

5. Registration

To access certain services, Users must create an account by providing accurate and complete information. Information collected may include:

• Name, email address, phone number;
• Child's age/class (where applicable);
• Other details necessary for service delivery.

You are responsible for maintaining the confidentiality of your account credentials. Any activity conducted through your account shall be deemed to be undertaken by you.

6. Eligibility

• Children under the age of 18 may use the Platform only under the supervision and consent of a parent or legal guardian.
• The Platform is intended for Users located in India and other permitted geographies.
• The Company reserves the right to terminate accounts found to be in violation of eligibility requirements.

7. Security

All transactions on the Platform are processed through secure, third-party payment gateways. The Company does not store or retain users' card or banking information.

8. License and Access

The Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for personal, non-commercial educational purposes. You shall not:

• Copy, modify, distribute, or resell Platform content;
• Reverse engineer or attempt unauthorized access;
• Use automated tools, bots, or data extraction methods.

9. Communications

By using the Platform, you consent to receive communications via email, phone calls, SMS, or other electronic means for:

• Service-related updates;
• Support and clarification;
• Marketing and promotional purposes.

You may opt out of promotional communication at any time.

10. Payments

• Payments may be made via UPI, cards, net banking, or other available methods;
• Fees for Courses and Services shall be displayed at the time of purchase;
• The Company reserves the right to modify pricing or payment modes.

11. User Obligations

You agree not to:

• Post or transmit harmful, illegal, abusive, or misleading content;
• Infringe intellectual property rights;
• Disrupt Platform functionality or security;
• Engage in fraudulent or unlawful activity.

Violation may result in immediate suspension or termination.

12. Intellectual Property

All content, trademarks, logos, software, designs, and materials on the Platform are the exclusive property of Spikitech Private Limited or its licensors. No rights are granted except as expressly stated in these Terms.

13. Disclaimer of Warranties

The Platform and Services are provided on an "as is" and "as available" basis. The Company does not warrant that:

• Services will be uninterrupted or error-free;
• Content will meet all expectations;
• Any defects will be corrected.

14. Limitation of Liability & Indemnity

The Company shall not be liable for any indirect, incidental, or consequential damages. You agree to indemnify and hold harmless the Company against any claims arising from your violation of these Terms or misuse of the Platform.

15. Termination

The Company may terminate or suspend access to the Platform without prior notice in case of violation of these Terms. Termination shall not affect obligations incurred prior to termination.

16. Hosting of Third-Party Information

The Platform may host third-party content. The Company does not guarantee the accuracy or reliability of such content.

17. Dispute Resolution & Jurisdiction

All disputes shall be resolved through:

• Mediation, failing which;
• Arbitration under Indian law.

Courts in India shall have exclusive jurisdiction.

18. Privacy

Personal information collected is governed by the Company's Privacy Policy, which forms an integral part of these Terms.

19. Refund & Cancellation

Refunds and cancellations shall be governed by the Refund & Cancellation Policy published on the Platform.

20. Changes to Terms

The Company reserves the right to modify these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.
